I. JINDO LLC: TERMS OF USE

1. ACCEPTANCE OF TERMS & ENTITY IDENTIFICATION
This platform, including the proprietary "Jam Deck™" engine, the Jindo interface, and The Jindo Entertainment System™, is operated by Jindo LLC, a Minnesota Limited Liability Company transitioning to Tennessee jurisdiction in late 2026. By accessing, registering for, or utilizing Jindo, you—whether acting individually or as an authorized representative of a commercial entity, and whether accessing the platform as a "Host" or a "Player"—explicitly agree to be bound by these Terms of Use, our Privacy Policy, and our Digital Millennium Copyright Act (DMCA) procedures. If you do not agree to these terms, you must immediately cease all use of the platform.
2. DESCRIPTION OF SERVICE & THE 3 VERTICALS
2.1 The Platform. Jindo is a proprietary browser-native Software-as-a-Service (SaaS) platform providing digital tools that comprise The Jindo Entertainment System™. The platform allows authorized Hosts to construct and manage "Jams"—defined as interactive, completely digital music bingo sessions designed to cultivate real-world community and connection. The Service includes:
Access to the unique, browser-native "Jam Deck™" interface for zero-prep custom game curation, playlist expansion, and library maintenance.
Automated, randomized interactive player card generation algorithms.
A secure, browser-based music identification game interface utilizing family-friendly audio clips restricted to fifteen (15) to thirty (30) seconds in length.
2.2 Platform Accessibility & Designed Use Cases Jindo is an open, globally accessible platform. While The Jindo Entertainment System™ is optimized and primarily engineered for the specific workflows of our core target market verticals listed below, access is explicitly granted to any individual, group, or commercial entity wishing to utilize the software for any lawful personal, community, or commercial entertainment purpose:
Independent Entertainers: Optimized for mobile DJs, trivia/karaoke hosts, comedians, variety acts, and digital streamers.
High-Dwell Hospitality: Tailored for bars, breweries, craft taprooms, restaurants, and gaming venues looking to maximize customer dwell-time.
Institutional & Corporate Networks: Geared toward corporate HR departments, team-building events, conventions, schools, fundraisers, and assisted living communities.
Usage of the software by any party outside of these core segments remains fully authorized, provided the user continuously complies with the intellectual property restrictions, content parameters, and public performance music licensing firewalls set forth throughout these Terms.
2.3 Completely Digital Architecture. Jindo is a paperless, completely digital ecosystem engineered to eliminate game-prep friction and environmental waste. Users are explicitly prohibited from extracting, printing, downloading, or physically replicating randomized card layouts or platform data for physical reproduction or commercial sale outside of the native mobile web-browser interface.
3. INTELLECTUAL PROPERTY & PROHIBITED CONDUCT
3.1 Proprietary Ownership. All software code, compiled source code, game-engine logic, graphics, user interfaces, branding assets, and randomized card generation algorithms are the sole and exclusive property of Jindo LLC.
3.2 The Vibe Master Taxonomy. Our unique "Max-Tagging" infrastructure—consisting of our curated, structural menu of Genres, Vibes, and Themes—is a proprietary database architecture owned entirely by Jindo LLC.
3.3 Usage Guardrails. Users are strictly prohibited from performing any of the following actions:
Scraping, harvesting, or replicating our music metadata databases or taxonomy for commercial use outside of the Jindo platform.
Attempting to reverse-engineer, decompile, or copy any portion of Jindo LLC's source code, asset files, or underlying game mechanics.
Utilizing the platform or its audio components for unauthorized public broadcast purposes outside of an active, verified Jindo session.
4. MUSIC PERFORMANCE & LICENSING FIREWALL
4.1 SaaS Distinction. Jindo LLC is strictly a software provider that manufactures digital tools for interactive gaming and music identification; the Company is not a music broadcaster, streaming service, or public performer.
4.2 Primary Venue Responsibility. The legal burden for public performance compliance rests entirely on the physical establishment where the music is played. Hosts and Venues are solely and exclusively responsible for securing and maintaining valid Public Performance Licenses from applicable Performance Rights Organizations (PROs), specifically including but not limited to ASCAP, BMI, SESAC, and GMR.
4.3 Support Disclosure. Jindo LLC pays nominal, voluntary fees to PROs purely as an indicator of industry goodwill and creator support; however, these nominal payments do not satisfy, replace, or mitigate the Venue's primary legal obligation to secure native public performance coverage.
5. MANDATORY VENUE LICENSING ATTESTATION
Prior to establishing a paid subscription account, initiating a free trial, or launching a public game session, the Host or purchasing entity must complete our digital click-wrap attestation ledger. By interacting with the platform, checking the verification node, or completing a transaction, you explicitly affirm the following binding warranty:
"The purchasing Host, entity, and/or operating Venue explicitly warrants that it possesses all required, active public performance licenses from ASCAP, BMI, and SESAC required for live ambient audio playback and public event entertainment."
This attestation serves to legally shift any and all copyright, performance, or unauthorized broadcast liability away from Planet Jindo Inc. and directly onto the physical establishment or Host operating the show.
6. THE WI-FI FIREWALL & SERVER-SIDE FAIL-SAFE PLEDGE
6.1 Local Connectivity Disclaimer. Jindo is a browser-native SaaS application requiring stable internet synchronization to process randomized data cards and audio clip delivery. Jindo LLC is not responsible for, and exercises no control over, local hardware configurations, cellular data limits, or the strength of a venue's local wireless internet networks.
6.2 The Local Exposure Cap. In the event that an active game session experiences latency, system interruption, or absolute failure due to a venue's local Wi-Fi connection dropping or degrading mid-show, Jindo LLC's liability is strictly capped. To the maximum extent permitted by applicable law, Jindo LLC's aggregate financial liability under any legal claim arising from local connectivity disruption shall be limited strictly to the cash value of the Host's single monthly subscription fee.
6.3 The Fail-Safe Show & Brand Safety Pledge. Jindo LLC guarantees that The Jindo Entertainment System™ will deliver a stable, highly reliable server architecture. If the platform experiences a documented, server-side disruption originating directly from Jindo's hosting infrastructure that entirely prevents a Host from completing a scheduled live show, Jindo LLC will credit the Host’s account rendering their current subscription billing month 100% free.
This pledge applies strictly to failures of Jindo's central database or application servers.
This pledge explicitly excludes disruptions caused by local venue Wi-Fi failure, cell network throttling, local user hardware malfunctions, or failure to comply with system prerequisites.
The issuance of a single monthly subscription credit shall serve as the Host's sole and exclusive financial remedy for platform server downtime.
7. BRAND SAFETY & FAMILY-FRIENDLY AUDIO CONTENT
7.1 Content Curation. Jindo LLC maintains an expansive, curated music library focused on providing family-friendly audio clips to maximize brand safety for all participating hosts and commercial environments.
7.2 Operational Control. While Jindo LLC builds defensive curation filters to maintain audio safety standards, the Host retains absolute operational control over the specific selection of custom playlists, game parameters, and matching atmospheres within their physical space. The Host assumes full responsibility for ensuring their active session selections match the community standards of their venue or corporate demographic.
8. HOST INDEMNIFICATION
Hosts explicitly agree to defend, indemnify, and hold harmless Jindo LLC, its parent corporations, and its executive officers (specifically including Josh Johnson) from and against any third-party claims, lawsuits, statutory penalties, damages, or legal expenses (including reasonable attorneys' fees) arising directly or indirectly out of:
A failure by the Host or Venue to maintain proper public performance licensing.
The unauthorized use, transmission, or alteration of Jindo music clips outside of the native parameters of our "Max-Tagging" game menu.
9. DMCA NOTICE AND TAKEDOWN PROCEDURES
Jindo LLC respects the "heart of the song" and the intellectual property rights of creators. If a copyright owner, publisher, or master recording administrator believes that a specific audio clip within our system is being utilized in an infringing manner, they may execute a formal takedown request under federal safe-harbor guidelines. All notices must be delivered to our designated agent at legal@playjindo.com and must include:
A definitive statement of legal authority regarding the copyright ownership.
Clear identification of the disputed work, including the song title, artist, and specific ISRC or ISWC identification data.
10. "FAIR USE" & AUDIENCE ASSOCIATION STANDARD
Music indexing and categorization parameters within Jindo are governed strictly by our proprietary Audience Association Standard. The structural metadata, vibes, and themes assigned to clips function exclusively as administrative data nodes to facilitate randomized bingo gameplay. These data tags are non-definitive, subjective markers for entertainment purposes only and do not constitute a formal musical endorsement or permanent genre classification of any recording artist.
